Seeks to track the MarketVector™ Venezuela Future Opportunities Index
The Teucrium Venezuela Future Opportunities ETF (the “Fund”) seeks to track, before fees and expenses, the total return performance of the MarketVector™ Venezuela Future Opportunities Index (the “Index”).
Venezuela holds one of the world’s largest proven crude oil reserves (303.7 billion barrels) and the largest proven natural gas reserves in South America (5.4 trillion cubic meters), according to OPEC’s Annual Statistical Bulletin 2026 (data as of year-end 2025). Decades of underinvestment and sanctions have left its energy sector producing well below its potential, and U.S. policy toward the country has been in motion since January 2026. Whether that turns into durable investment is an open question. VEN is built for investors who want rules-based exposure to the companies already doing business in Venezuela, in one NYSE Arca-listed ETF.

Companies enter the Index by meeting its published rules.
VEN seeks to track the MarketVector™ Venezuela Future Opportunities Index, a rules-based index of Venezuelan Companies and Venezuela Exposed Companies. Companies enter the Index as Venezuelan Companies (incorporation, Parent Index assignment, or the 50% revenue-or-assets test) or as Venezuela Exposed Companies (disclosed Venezuela revenue, assets or employees; a Petróleos de Venezuela, S.A. (PDVSA) joint venture, U.S. Office of Foreign Assets Control (OFAC) license or claim on Venezuelan assets; or an operating presence in Venezuela). If fewer than 25 qualify, the Index Provider adds securities by its decision until the Index reaches 25.
Every constituent starts at the same weight, and a trading-volume cap limits any single name.
Every constituent starts at an equal weight. A cap based on each stock’s 3-month average daily trading volume limits any single name, and the excess weight is spread equally across the uncapped constituents. The Index holds at least 25 companies, reconstitutes annually in September and rebalances quarterly.
A single-country, non-diversified ETF meant to sit beside a core allocation.
VEN is a single-country, non-diversified ETF designed as a satellite allocation for investors with a specific view on Venezuela’s trajectory and the risk tolerance to hold it.
The registration statement for the Fund has been declared effective by the U.S. Securities and Exchange Commission (“SEC”). Read the prospectus. However, the Fund has not yet commenced operations. Shares of the Fund are expected to begin trading on or about November 18, 2026, subject to market conditions.
A company can enter the Index by one of 2 paths.
Any one of these qualifies a company as a Venezuelan Company.
Assigned to the Venezuela universe of the MarketVector™ Total Global Equity Index.
The company is incorporated in Venezuela.
The company derives at least 50% of its revenue or related assets from Venezuela.
Any one of these qualifies a company as a Venezuela Exposed Company.
Venezuela-specific revenue, assets or employees disclosed in financial statements or regulatory filings.
Operates a joint venture with Petróleos de Venezuela, S.A. (PDVSA).
Holds a U.S. Office of Foreign Assets Control (OFAC) license to operate in Venezuela.
Holds claims on Venezuelan assets.
Equipment located in the country, products distributed there, or joint ventures or partnerships with Venezuelan entities.
The Fund uses a passive indexing approach and generally invests in all of the component securities of the Index in approximately the same proportions as the Index; it may use representative sampling when the Adviser believes that is in the Fund’s best interests. Under normal circumstances, at least 80% of the Fund’s net assets, plus borrowings for investment purposes, are invested in the components of the Index. The Fund holds common stocks and corresponding depositary receipts, American Depositary Receipts (ADRs) and Global Depositary Receipts (GDRs). The Fund is non-diversified and concentrates in an industry to the extent the Index does; as of the date of the prospectus, the Index is concentrated in the oil, gas and consumable fuels industry.
The Index is a country index of companies involved in the Venezuelan economy. It holds two kinds of companies. Venezuelan Companies are assigned to the Venezuela universe of the MarketVector™ Total Global Equity Index, are incorporated in Venezuela, or derive at least 50% of their revenue or related assets from Venezuela. Venezuela Exposed Companies disclose Venezuela-specific revenue, assets or employees in their financial statements or regulatory filings; operate joint ventures with Petróleos de Venezuela, S.A. (PDVSA), hold U.S. Office of Foreign Assets Control (OFAC) licenses to operate in Venezuela, or hold claims on Venezuelan assets; or maintain an operating presence in Venezuela, such as equipment located in the country, products distributed there, or joint ventures or partnerships with Venezuelan entities.
A new constituent needs a free float of at least 10%, a market capitalization above $250 million, 3-month average daily trading volume of at least $1 million as of each of the current and previous two selection dates, and at least 250,000 shares traded a month over the last 6 months. Existing constituents are held to lower thresholds (5% float, $125 million, $200,000 of daily volume) so the Index does not churn at the margin. The Index holds a minimum of 25 companies; if fewer qualify, the Index Provider adds names by decision until it reaches 25. The Index is reconstituted once a year in September and rebalanced quarterly in March, June, September and December. The Index Provider may also run ad hoc reviews to add eligible Venezuelan companies, or companies that derive at least 50% of their revenue or assets from Venezuela, for example after a lifting or easing of sanctions lets investors access securities listed in Venezuela.
Once in, every constituent starts at an equal weight, 1 divided by the number of names. A liquidity cap then trims any stock whose weight would exceed its 3-month average daily trading volume in U.S. dollars divided by $100 million, and the excess is spread equally across the uncapped names until the weights sum to 100%. The Index Provider may also adjust weights for foreign ownership limits or sanctions.
Select a step to see what happens at each stage.
A stock has to clear these size and trading-volume thresholds to be eligible. New names face higher bars than names already in the Index.
| Criterion | New constituent | Existing constituent |
|---|---|---|
| Free float | 10% | 5% |
| Market capitalization | Above $250 million | Above $125 million |
| 3-month average daily trading volume | At least $1 million | At least $200,000 |
New constituents also need at least 250,000 shares traded a month over the last 6 months, and the $1 million volume test applies as of each of the current and previous two selection dates.
The Index holds a minimum of 25 companies; if fewer qualify, the Index Provider adds names by decision until it reaches 25. Existing constituents are held to separate thresholds set out in the prospectus.

The Index rebalances 4 times a year and is reconstituted once, in September.
Equal weighting means a supermajor and a $2 billion oilfield-services company carry the same starting weight. Venezuela may be a small share of a supermajor’s revenue and a large share of a $2 billion oilfield-services company’s revenue. Giving both companies the same starting weight means the larger company’s market value does not decide how much of the Index each one gets. The liquidity cap then limits each stock to a weight its daily trading volume can support.
Hypothetical illustration. Not actual Index constituents or weights. Relative company sizes are made up to show how each weighting method splits the Index. The Index applies a liquidity cap on top of equal weighting; the cap is not shown.

VEN seeks to track the MarketVector™ Venezuela Future Opportunities Index, which holds Venezuelan Companies and Venezuela Exposed Companies as the Index rules define them. It is designed as a single-country satellite holding alongside a core emerging markets allocation, and it carries the risks of a single-country, non-diversified fund.
The Index holds two kinds of companies. Venezuelan Companies are assigned to MarketVector’s Venezuela universe, are incorporated in Venezuela, or derive at least 50% of their revenue or related assets from Venezuela. Venezuela Exposed Companies disclose Venezuela-specific revenue, assets or employees in their filings, run joint ventures with Petróleos de Venezuela, S.A. (PDVSA), hold U.S. Office of Foreign Assets Control (OFAC) licenses to operate in Venezuela, hold claims on Venezuelan assets, or keep an operating presence in the country. As of March 11, 2026, the Index had 30 constituents from 12 countries: Belgium, Brazil, China, Finland, France, Italy, Mexico, Panama, Spain, the United States, the United Kingdom and Uruguay. The mix can change at each review. The Fund’s holdings will be published daily at teucrium.com/ven once the Fund begins trading.
Every constituent starts at an equal weight, 1 divided by the number of companies in the Index. A liquidity cap then limits any single stock to its 3-month average daily trading volume in U.S. dollars divided by $100 million, and the excess weight is spread equally across the uncapped names. The Index holds at least 25 companies, is reconstituted once a year in September and is rebalanced quarterly in March, June, September and December.
The Index tracks common stocks, American Depositary Receipts (ADRs) and Global Depositary Receipts (GDRs) that pass its investability screens. For new constituents the requirements are a free float of at least 10%, a market capitalization above $250 million, 3-month average daily trading volume of at least $1 million as of each of the current and previous two selection dates, and at least 250,000 shares traded a month over the last 6 months, on a market that imposes no restrictions on foreign investors and provides real-time and historical pricing. Existing constituents are held to separate thresholds set out in the prospectus. The Index tracks equity securities, so sovereign and PDVSA bonds are not Index components. The Index can include multinationals that operate joint ventures with PDVSA, hold OFAC licenses or hold claims on Venezuelan assets. Please read the prospectus for the full eligibility rules.
The Fund and the Index operate under U.S. sanctions law, and the Index Provider may adjust a constituent’s weight or free float to reflect sanctions or foreign ownership limits. Changes in U.S. sanctions policy toward Venezuela could change which companies are eligible for the Index and could affect the Fund’s performance. Please read the prospectus for a full discussion of the risks.

The 30-day median bid/ask spread is the median percentage difference between the highest bid price and lowest ask price relative to the midpoint price over the past 30 trading days.
The Premium/Discount shows the difference between the daily market price of the Fund's shares and the Fund's net asset value ("NAV"). The table shows the premium or discount of the mid-point price as a percentage of the NAV as well as the number of trading days the Fund traded within the given premium/discount range.
NAV Return represents the closing price of the underlying securities.
Market Price Return is calculated using the price which investors buy and sell ETF shares in the market. The market returns in the table are based upon the midpoint of the bid/ask spread at 4:00 pm EST, and do not represent the returns you would have received if you traded shares at other times.
An investor should consider the investment objectives, risks, charges, and expenses of the Fund carefully before investing. The prospectus and, if available, the summary prospectus contain this and other information about the Fund. You may obtain a prospectus and, if available, a summary prospectus by calling 877-376-0082 or visiting www.teucrium.com. Please read the prospectus or summary prospectus carefully before investing. Investing involves risk, including the possible loss of principal.
There is no guarantee that the Fund will achieve its investment objective. The Fund is new and has no operating history. The Fund is non-diversified and may invest a larger share of its assets in a small number of issuers. To the extent the Index concentrates in the oil, gas and consumable fuels industry, so will the Fund, and the Fund’s performance may be affected by changes in energy prices, supply and demand, regulation and geopolitical events. Investments in foreign securities and depositary receipts involve currency fluctuations, different regulatory and accounting standards, and less liquidity. Companies with operations in Venezuela and other emerging and Latin American markets face heightened political, economic, legal and regulatory risk, including expropriation, sanctions, trade restrictions and changes in government policy; changes in U.S. sanctions policy could affect which companies are eligible for the Index and could affect the Fund’s performance. The Fund is not an investment in Venezuela itself and holds companies listed outside Venezuela whose businesses extend well beyond it. The Fund seeks to track the Index, and its returns may differ from the Index because of fees, expenses, trading costs and other factors. ETF shares trade like stocks, may trade at prices above or below net asset value, and are not individually redeemable directly with the Fund. Brokerage commissions and Fund expenses will reduce returns.
