A Section 351 exchange lets investors contribute stocks and other securities to a new ETF in exchange for fund shares, without triggering an immediate capital gains tax bill. Taxes are deferred, not eliminated: your cost basis and holding period carry over to the new fund shares, and you'd recognize gains when you eventually sell.
To qualify, the contributed portfolio has to meet 3 tests.
Each investor contributes a sufficiently diversified portfolio. The largest holding can't exceed 25% of the portfolio's market value, and the top 5 holdings combined can't exceed 50%.
Qualifying securities must be liquid and trade intraday: stocks, bonds, ETFs, closed-end funds, and ADRs. No illiquid or restricted investments.
The basket of contributed securities must mostly align with the new ETF's investment objective as described in its prospectus.
The Texas Equity Opportunity ETF (BIGT) seeks long-term capital appreciation. It's an actively managed ETF built for investors who want focused exposure to the public companies driving the Texas economy.
Under normal circumstances, the Fund invests at least 80% of its net assets in Texas companies: businesses headquartered in Texas, organized under Texas law, or earning at least 50% of their revenue (or holding at least 50% of their assets) in the state. The portfolio spans small, mid, and large capitalization companies, screened at a market cap of $500 million and up. The Fund expects a high level of investment in the oil and gas industry.

Jody is the Founder and President of Team Financial Strategies, which was created from a desire to help clients make good financial decisions and grow with them through their financial life cycles. Jody is a CERTIFIED FINANCIAL PLANNER™ professional and a member of NAPFA and FPA and holds a BBA from Abilene Christian University. He has served in the financial planning and investment management industry since 2001.
Jody Team is the Founder and President of Team Financial Strategies (TFS) in Abilene, Texas. TFS opened in April of 2005 as a Fee-Only Investment Advisory Business. Jody created Team Financial from a desire to help clients make good financial decisions and grow with them through their financial life cycles. Jody loves the opportunity to help clients remove “financial stress” from their lives. Jody has been building TFS to do this for over 15 years.
Jody Team is a CERTIFIED FINANCIAL PLANNER™ professional and a member of NAPFA and FPA. He has served in the financial planning and investment management industry since 2001. Jody, being an entrepreneur, also started an open-end mutual fund called The Texas Fund (BIGTX) in 2013 as the investment team at TFS saw the opportunity to offer an investment in the growth of the Texas economy. Jody manages this fund as well as other proprietary investment strategies at Team Financial Strategies.
Faith and family drive Jody outside of his work. He is married to Dr. Rachel Team, who is a professor at Abilene Christian University. They have 3 daughters, Emma, Audrey, and Cora. The family all attend Southern Hills Church of Christ in Abilene, TX. If Jody is not at the office or at a church event, you will find him next to the soccer field cheering on his 3 daughters.

Chad is the Chief Investment Officer of Team Financial and brings over 20 years of investment experience that involves managing assets for various clientele. Chad is a Certified Investment Management Analyst® (CIMA®) and a member of the Investments & Wealth Institute and is also a Chartered Portfolio Manager®, a certification of the Global Academy of Finance and Management. He also obtained a BBA in Finance from Hardin-Simmons University in Abilene, Texas and an MBA from Texas A&M in Commerce, Texas.
Chad joined Team Financial Strategies in January 2023 as the Chief Investment Officer. He brings over 20 years of investment experience that involves managing assets for various clientele, including insurance companies, trusts, corporations, mutual funds, individuals, pensions, 401-k, and foundations. Chad works diligently to structure the best possible portfolio for each client based on their unique needs. He is passionate about helping people and finding financial freedom and success for each client.
