PTP TAX EXEMPTION
IRS Section 1446(f) Rule: Exemption
The IRS recently issued regulations on the withholding on transfers of interests in PTPs and on distributions made with respect to PTP interests, effective January 1, 2023. These regulations would require a 10% withholding on gains from the sale of PTP interests. 1446(f) rule is applicable to Publicly Traded Partnerships (PTPs) and may impact international investors in the following exchange-traded products (ETPs) registered under the Securities Act of 1933: CORN, WEAT, SOYB, CANE, TAGS.
ALL FUNDS LISTED ABOVE HAVE MET THE REQUIREMENTS AND ARE EXEMPT FROM IRS Section 1446(f) RULE.
An exception under this rule applies if a PTP is to certify that it is not engaged in a U.S. trade or business.
In order to make this certification, the PTP must state on a qualified notice that it is not engaged in a trade or business in the United States.
Teucrium intends to post a quarterly qualified notice to the website indicating that it has met the requirements for this exception.
This information may be used by foreign partners to indicate that the sale of their partnership interest should not be subject to the 10% withholding.

Sal Gilbertie Chief Executive Officer, President, Chief Investment Officer and founder of Teucrium, brings deep experience in commodities markets, particularly in the areas of trading and liquidity. He has designed a variety of commodity based exchange-traded products ("ETPs") with particular focus on agriculture and energy.
Mr. Gilbertie began his career in commodities with Cargill in 1982; since then he has traded energy and agricultural commodities at Donaldson Lufkin Jenrette, Merrill Lynch, and Bear Stearns. Immediately prior to founding Teucrium Trading LLC, Mr. Gilbertie headed the Renewables Fuels & Commodities Derivatives Over-the-Counter (OTC) liquidity desk for Newedge USA, LLC, a subsidiary of Société Générale (SocGen). While there, Mr. Gilbertie developed the liquidity and the standard contract used today in the ethanol markets. Sal, who is 59 years old, graduated from Fairfield University with a Bachelor of Science degree in Business.
Cory Mullen-Rusin
Cory Mullen-Rusin, has been the Chief Financial Officer, Chief Accounting Officer and Chief Compliance Officer of the Sponsor since September 17, 2018 and Ms. Mullen-Rusin has primary responsibility for the financial management, compliance and reporting of the Sponsor and is in charge of its books of account and accounting records, and its accounting procedures.
She maintains her main business office at Three Main Street, Suite 215, Burlington, Vermont 05401. Ms. Mullen-Rusin was approved by the NFA as a Principal of the Sponsor on October 8, 2018. Ms. Mullen-Rusin began working for the Sponsor in September 2011 and worked directly with the former CFO at Teucrium for seven years. Her responsibilities included aspects of financial planning, financial operations, and financial reporting for the Trust and the Sponsor. Additionally, Ms. Mullen-Rusin assisted in developing, instituting, and monitoring the effectiveness of processes and procedures to comply with all regulatory agency requirements. Ms. Mullen-Rusin graduated from Boston College with a Bachelor of Arts and Science in Communications in 2009, where she was a four-year scholarship player on the NCAA Division I Women’s Basketball team. In 2017, she earned a Master of Business Administration from Nichols College.
Steve Kahler
Steve Kahler, Chief Operating Officer, has extensive experience working in agricultural and energy commodities markets; ranging from working the family farm to, Pit Trading at the Minneapolis Grain Exchange as well as developing an international wheat export program for CHS which supplied high quality wheat directly to European flour mills. Mr. Kahler worked across multiple business units in energy and biofuels during his time at Cargill Inc.
Prior to joining Teucrium in November 2011, Mr. Kahler worked for Cargill Inc., an international producer and marketer of food, agricultural, financial and industrial products and services, from April 2006 until November 2011 in the Energy Division as Senior Petroleum Trader. Mr. Kahler graduated from the University of Minnesota with a Bachelors of Agricultural Business Administration. Mr. Kahler is responsible for overseeing all trading and investment decisions for the Teucrium Funds. Mr. Kahler holds the series 3 and 30.
Springer Harris
Springer Harris joined Teucrium on April 1, 2011. As COO, he oversees all business operations, including trading and investment decisions for the Teucrium Funds. He also heads ETF Launchpad, Teucrium's multi-asset white-label ETF platform, which helps a diverse range of clients, from individuals to large asset managers, launch their ETFs efficiently. His office is located at Three Main Street, Suite 215, Burlington, VT 05401.
Springer is the author of "GET ETF’D: An Insider's Guide to Starting and Running an ETF," a book that demystifies the process of launching and managing ETFs. Before joining Teucrium, he was part of the Emergent Social Media Team at Weber Shandwick, a leading global public relations firm.
He graduated Cum Laude with a B.A. in Business Management from Washington College, where he was a four-year member and two-year captain of the Men’s Rowing Team. He has also held various positions with the Maryland General Assembly and the City of Burlington, Vermont. Springer holds the Series 3 and 30 licenses.
Jake Hanley, CMT®
Managing Director/Senior Portfolio Specialist, began working for the Sponsor in January 2018 as a Director of Operations. He became the Managing Director of Marketing and Operations in January 2019. His primary responsibilities consist of overseeing all marketing activities, including but not limited to building and maintaining a Customer Relationship Management (CRM) system; overseeing public relations; executing digital marketing and content marketing campaigns; negotiating and managing third party marketing contracts; research and development of new products and marketing strategies; devising and overseeing the marketing budget. Jake is the primary relationship manager for investors and financial advisors interested in Teucrium’s funds.
As a Senior Portfolio Specialist Mr. Hanley has an intimate understanding of investment strategies made available through Teucrium’s funds. Mr. Hanley is in part responsible for certain fund related daily operating procedures and acts as an alternate for specific dual control functions.
Mr. Hanley has over a decade’s experience in financial services. Prior to his employment with the Sponsor Mr. Hanley was a Financial Advisor and held the position of Assistant Vice President at Merrill Lynch Peirce, Fenner and Smith. As a financial advisor Mr. Hanley was responsible for providing investment selection, portfolio management, as well as financial and estate planning services for high net-worth and ultra-high net-worth clients. Mr. Hanley graduated from Sacred Heart University with a Bachelor of Arts in History in 2006. Mr. Hanley holds the Series 3, 7, and 24.

Tanya Bernard
Tanya Bernard, Human Resource Manager and Financial Manager, began working for the Sponsor in July 2009 until August 2017 as the Office Operations Manager. Mrs. Bernard took a year off, completing her Associates Degree in Administrative Management from the Community College of Vermont and working for Marlboro College in Marlboro, Vermont as Assistant Registrar.
Mrs. Bernard returned to the Sponsor in October 2018 and resumed her roles as Human Resource Manager, assistant to the Chief Accounting Officer in a Financial Manager role and assisting with trading financial duties as assigned.
Parker McIntosh
Parker McIntosh, Director, Finance and Treasury, began working for the Sponsor as an intern in 2012 and joined full time in January of 2017. His primary responsibilities include creating and revising financial statements and other periodic regulatory filings.
He helped to build and continues to update, monitor, and implement Teucrium’s internal Treasury operations. Mr. McIntosh graduated from Washington College with a Bachelor of Sciences in Biology in 2013 and earned a Master of Business Administration from the University of Maryland in 2018. He currently holds the Certified Treasury Professional (CTP) designation.
Yvette Oliveira
Yvette Oliveira, Financial Controller began working for Teucrium in January 2019. Yvette assists the CFO with the company’s financial reporting, company accounting, investment accounting and accounting policy, including the implementation of significant new accounting standards. She is responsible for technical support for strategic initiatives and evaluating and proposing steps to enhance technology and processes.
Ms. Oliveira previously worked for Bay State Milling Company, a privately-owned flour manufacturer from August 1980 until January 2019 in the Corporate Accounting Department, managing all of the company’s Grain Accounting functions, including ensuring the accuracy of the cash and futures positions daily. Her responsibilities also included Financial Reporting, Monthly Projections, Inventory management, Product Formulation and Plant support. Ms. Oliveira received an Associates Degree in Fashion Merchandising from Aquinas College in 1980.
Spencer Kristiansen
Mr. Kristiansen began working for Teucrium in late July of 2022. Primary responsibilities are assisting with trade operations for the Funds and process improvement.
Prior to his employment with Teucrium, Mr. Kristiansen was an Investment Counselor for Fisher Investments Private Client Group International where he worked with investors domiciled in the United Kingdom. Before that, he gained experience as Financial Advisor and Investment Management Specialist for Bank of America Merrill Lynch coordinating investment strategy, financial planning, communications, and trading for high net worth clients and businesses.
Spencer graduated Summa Cum Laude from Champlain College with a Bachelor of Science in Finance in 2018.
Joran Haugens
Mr. Haugens began working for Teucrium in December 2022.
Mr. Haugens has extensive experience, and knowledge dating back more than 20 years, starting on the trading floor at the Chicago Board of Trade. During the time of open outcry trading, in 2001 he started as a runner on the grains floor, quickly transitioning to the roll of a spread clerk in the corn futures pit while attending college. After attaining his associates degree from the College of DuPage, he began working on the execution desk for Fimat - Societe Generale. His responsibilities included handling day to day operations that included outright futures trading, product and intermarket spreading, options strategies, as well all cash exchanges for a wide array of customers. After his time at Fimat, he began working for Jefferies LLC. before beginning his time at ED&F Man Capital Markets in 2015 where he started in the position of AE assistant to being promoted to senior vice president of the grain division. Mr. Haugens currently holds a series 3.
